1. About these terms
These terms apply when you engage Rama Foundry (operating under Rama Enterprises) for any service — including brand identity, website development, social media creatives, digital marketing, SEO, AI solutions, video or landing pages.
Your specific project is governed by the written proposal we send you. If anything in the proposal conflicts with these terms, the proposal takes priority for that project.
2. Quotes and proposals
- All services are custom-quoted. We do not publish fixed package prices.
- A proposal sets out scope of work, deliverables, timeline, fees, payment schedule and revision terms.
- Quotes are generally valid for a stated period. After that, pricing may be revised if requirements or third-party costs change.
- Work begins only after you confirm acceptance of the proposal and any agreed advance payment is received.
3. Your responsibilities
Timely projects depend on both sides. You agree to:
- Provide accurate business information, brand assets and access that we need
- Nominate a decision-maker who can approve work
- Give feedback within a reasonable time so the schedule stays intact
- Confirm that content you supply does not infringe anyone's rights
- Hold the necessary licences for fonts, stock media, plugins or software you require
If inputs or approvals are delayed, timelines shift accordingly. We will tell you when that happens.
4. Fees, payments and taxes
- Fees and the payment schedule are stated in your proposal.
- Work typically begins after the agreed advance is received.
- Applicable taxes are additional and charged as required by law. The applicable tax treatment and registration details for your invoice will be confirmed on the invoice itself.
- Third-party costs are separate from our fees. These can include advertising spend, paid tools and subscriptions, hosting, domains, stock assets, fonts, plugins, photography, print and courier charges.
- Advertising budgets are paid by you directly to the platform. We do not mark up media spend.
- Delayed payments may pause active work until the account is settled.
5. Revisions and approvals
- The number of revision rounds included is defined in your proposal.
- A revision round means one consolidated set of feedback from you, not separate requests from multiple people.
- Requests outside the agreed scope — new pages, new features, extra formats or a change of direction — are treated as new work and quoted separately.
- Once you approve a deliverable in writing, it is considered final for that stage. Subsequent changes to approved work are handled as new requests.
6. Timelines
Timelines in a proposal are estimates based on the agreed scope and prompt feedback. We will communicate promptly if something changes. We do not guarantee fixed delivery dates before the scope is known.
7. Intellectual property and ownership
- On full payment, you own the final approved deliverables created for your project — including design files, code and content we produced for you.
- We retain ownership of our internal templates, tools, reusable code libraries and know-how, and may reuse general skills and approaches on other work.
- Third-party licensed items (fonts, stock media, plugins, software) are governed by their own licences and may require your own continued licence.
- Unless you ask us otherwise in writing, we may reference non-confidential work in our own portfolio. If your project is confidential, tell us and we will not display it.
8. Accounts, access and advertising
- Ad accounts, hosting, domains and analytics should ideally stay in your name and under your payment control.
- Where we manage an account for you, we act on your instructions and within the agreed budget.
- Platform decisions — approvals, disapprovals, policy enforcement, pricing and reach — are controlled by the platform, not by us. We are not responsible for their actions.
9. No guaranteed outcomes
We plan carefully and report honestly, but we do not guarantee sales, leads, revenue, return on ad spend, conversion rates, search rankings or any specific business result. Marketing outcomes depend on your offer, pricing, market, competition, budget and factors outside our control.
Any figure, projection or estimate shared during discussion is an illustration, not a promise. See our Disclaimer for the full position.
10. AI-assisted work
- Where we use AI tools, they assist our process — research, drafting, ideation, imagery or automation. Human review is part of our delivery.
- AI-generated imagery or video is labelled as such when it could be mistaken for real photography.
- AI tools have their own terms and limitations. We will tell you if a limitation is relevant to your project.
11. Confidentiality
We treat your business information as confidential and do not disclose it outside of what is needed to deliver your project. If you need a signed non-disclosure agreement, ask and we will review it.
12. Cancellation and termination
- Either side may end an engagement in line with the notice period in the proposal.
- Fees for work already performed, and any non-recoverable third-party costs, remain payable.
- Work in progress is handed over on settlement of amounts due. See our Refund Policy for detail on advances and cancellations.
13. Limitation of liability
To the extent permitted by law, our total liability for any claim relating to a project is limited to the fees you actually paid us for that project. We are not liable for indirect or consequential losses, including lost profits, lost data or business interruption.
14. Errors and corrections
If we make a mistake in work we delivered, tell us and we will correct it. We ask to be told promptly so it can be fixed before it causes further issues.
15. Governing terms
These terms are intended for engagements with businesses in India. The applicable governing law and jurisdiction for a specific engagement will be stated in the proposal or contract for that project.
